These Terms of Use (the “Terms”) govern access to and use of:
- the public website at https://compoundio.co, including its pages, content, forms and links (the “Website”); and
- the Compoundio Technology conversational application made available through supported OpenAI services, including ChatGPT where available, and backed by Compoundio’s MCP service (the “App”).
The Website and the App are together referred to as the “Services.” Access to and use of the Services are subject to these Terms. If you do not agree to these Terms, do not use the Services.
These Terms do not govern paid consulting, development work, investments, equity participations, joint ventures or other business collaborations. Those matters require a separate agreement. If a separate written agreement with Compoundio conflicts with these Terms, the separate agreement prevails for its subject matter.
CompoundGEO and Matchpreneurs are distinct offerings and may be subject to additional or separate terms. The terms presented for the relevant offering take precedence for its use.
2. Purpose of the Services and no commercial commitment
The Website provides general information about Compoundio, its activities, brands, ventures, portfolio and possible areas of collaboration.
The App is an AI-assisted informational service. It uses selected public information about Compoundio ventures and may help users compare possible starting points or prepare a non-binding matching summary or introduction brief. App responses may be generated, selected or summarized using artificial intelligence and may not have been reviewed by a person.
An App response, contact-form submission, email or meeting request is an enquiry only. It does not by itself create an investment, partnership, joint venture, agency, advisory, service or other commercial relationship. The App has no authority to make or accept commitments on behalf of Compoundio, a Compoundio venture, a portfolio company or any other person.
Any service, investment, equity participation, joint venture or other collaboration is subject to separate discussions, appropriate due diligence and, where agreed, definitive written agreements signed by the relevant parties.
3. How the App works
Depending on the request, the App may process information such as a user’s business goal, company stage, selected priority, selected venture and other text needed to provide the requested result. A name, email address, telephone number or other contact details are not required to use the App.
The App is designed as a read-only information service. It does not:
- submit the Compoundio Website contact form;
- contact people or companies on the user’s behalf;
- enter into investments, partnerships, transactions or other commitments;
- make payments or access payment accounts; or
- change records in third-party systems.
The App may provide external links. The user decides whether to open and use an external website or service.
The App may cover only selected ventures and may not reflect the complete or current Compoundio portfolio at all times. Its functionality may also depend on OpenAI services and other technical providers.
Users must not submit passwords, authentication credentials, payment information, special-category personal data, confidential business information, trade secrets or other information that is unnecessary for the requested result. Information about processing, service providers, technical logs and retention is set out in the Privacy Policy.
4. No investment or professional advice
Nothing in the Services constitutes:
- an offer to sell or a solicitation to buy securities or other investments;
- investment, legal, tax, accounting or financial advice;
- a recommendation to enter into a transaction;
- a promise of funding, investment, partnership or collaboration; or
- a guarantee of any commercial, financial or other result.
Descriptions, comparisons, matching results and possible outcomes are general information only. Users are responsible for independently verifying relevant information and obtaining appropriate professional advice before making decisions. Investments and business activities involve risk, including the possible loss of capital.
5. User responsibilities and acceptable use
Users may use the Services only for lawful purposes and in accordance with these Terms. Users are responsible for the information they submit and must have all rights and permissions required to provide it.
Users must not:
- interfere with the security, availability or proper operation of the Services;
- attempt to gain unauthorized access to systems, accounts, data or non-public functionality;
- introduce malware, harmful code or malicious instructions;
- bypass rate limits, access controls or other technical safeguards;
- use automated means at a volume or in a manner that disrupts or unreasonably burdens the Services;
- attempt to extract non-public prompts, configuration, credentials, security information or personal data;
- misuse contact forms or external links;
- reproduce, alter or present content in a misleading, infringing or unlawful way;
- submit confidential information or personal data that the user is not authorized to share;
- use the Services to facilitate unlawful, fraudulent or harmful conduct; or
- misrepresent an App result as a binding statement, approval or commitment by Compoundio or another party.
Where reasonably necessary to protect the Services, users or third parties, Compoundio may restrict or suspend access, including without prior notice where immediate action is required.
6. Intellectual property, user input and permitted use
The Website, the App, and their design, text, graphics, logos, branding, software and other materials are owned by Compoundio Technology Holding GmbH or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, Compoundio grants users a limited, non-exclusive, non-transferable and revocable right to access and use the Services for personal or internal business-evaluation purposes. Users may save an App-generated matching summary or introduction brief and share it internally, with their professional advisers or with Compoundio for evaluation of a possible collaboration.
No other reproduction, distribution, modification, public display, commercial exploitation or use of Compoundio names, logos or materials is permitted without prior written permission, unless permitted by mandatory law.
Users retain any rights they have in information they submit. They grant Compoundio the limited rights necessary to process that information for providing, securing and operating the requested App function. Rights concerning content generated within an OpenAI service may also be governed by OpenAI’s applicable terms. To the extent an App result contains Compoundio-owned material, the limited permission in this section applies to that material.
7. Ventures, third-party services and external links
Where a portfolio company, joint venture or other venture is operated by a separate legal entity, that entity is responsible for its own products, services, content, commitments, privacy information and legal notices.
External links are provided for information and convenience. A link does not, by itself, constitute an endorsement, guarantee or assumption of responsibility for a third party’s website, service, information or conduct. When a user leaves the Website or opens another service, that provider’s terms and privacy information may apply.
OpenAI and ChatGPT are third-party services and are subject to their own terms, policies, availability and technical limitations.
8. Accuracy and availability
Compoundio takes reasonable care when preparing content for the Services. Nevertheless, information may change and may be incomplete, outdated or inaccurate. AI-assisted outputs can also contain errors, omissions or unsuitable matches.
Compoundio does not guarantee uninterrupted or error-free operation, continuous availability, a particular response or recommendation, an introduction, funding, partnership or commercial outcome. Users must verify information relevant to an important decision and must not rely on the Services as the sole basis for an investment, legal, financial or other material decision.
9. Liability
Compoundio Technology Holding GmbH is liable without limitation:
- for intent and gross negligence;
- for injury to life, body or health resulting from an intentional or negligent breach of duty;
- under the German Product Liability Act (Produkthaftungsgesetz);
- where a defect has been fraudulently concealed;
- to the extent of a guarantee expressly assumed by Compoundio; and
- in any other case in which liability cannot lawfully be excluded or limited.
In the event of a slightly negligent breach of a material contractual obligation, Compoundio’s liability is limited to the loss that was typical for the relevant arrangement and reasonably foreseeable when the obligation arose. A material contractual obligation is an obligation whose performance is necessary for the proper provision of the relevant Service and on whose performance the user may ordinarily rely.
In all other cases, liability for slight negligence is excluded to the extent permitted by law.
These limitations apply irrespective of the legal basis of the claim and also in favour of Compoundio’s legal representatives, employees and vicarious agents. Mandatory statutory rights remain unaffected.
10. Modification, suspension and discontinuation
Compoundio may modify, restrict, suspend or discontinue all or part of the Services where reasonably necessary for operational, technical, security, legal or business reasons. Unless a separate agreement states otherwise, users have no entitlement to the continued availability of a particular free function, item of content or venture listing.
11. Changes to these Terms
Compoundio may revise these Terms for future use of the Services. The revised version will be published with an updated “Last updated” date and applies to use occurring after its effective date. Where applicable law requires additional notice or consent for an ongoing contractual relationship, Compoundio will provide that notice or obtain that consent. Changes to these Terms do not amend a separate signed agreement.
12. Privacy and cookies
Personal data is processed as described in the Privacy Policy. Cookies and similar technologies used on the Website are described in the Cookie Policy.
The data flows for Website contact enquiries and for App requests are different. Users should review the Privacy Policy for the categories of data, purposes, legal bases, recipients or service providers, international transfers where relevant, and retention periods that apply to each flow.
13. Applicable law and jurisdiction
German law applies, excluding its conflict-of-law rules. If the user is a consumer, this choice of law does not deprive the user of mandatory protections provided by the law of the country in which the user has their habitual residence.
To the extent legally permitted, Stuttgart, Germany, is the exclusive place of jurisdiction for disputes with merchants (Kaufleute), legal entities under public law and special funds under public law.
14. Consumer dispute resolution
Compoundio is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board, unless participation is required by law in a particular case.
